OPTISELF TERMS OF USE & HEALTH DISCLAIMER

These Terms of Use and Health Disclaimer (“Terms”) govern your access to and use of any applications, websites, software, tools, features, subscriptions, AI-generated outputs, content, and related services provided by OptiSelf LLC (collectively, the “Services”), including without limitation OptySleep, OptyPeptides, and any current or future products, applications, websites, software, or offerings under the OptiSelf brand or any affiliated brand.

By downloading, accessing, browsing, subscribing to, or using any of the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, do not use the Services.

1. FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY — NOT MEDICAL ADVICE

The Services are provided solely for general informational, educational, self-directed wellness, lifestyle, and personal optimization purposes. The Services do not provide medical advice, diagnosis, treatment, clinical care, pharmacy services, nursing services, mental health services, or any other professional healthcare services.

OptiSelf LLC is not a physician, medical provider, pharmacy, hospital, clinic, laboratory, or emergency service. No content, data, tracking, suggestions, insights, protocols, summaries, scores, alerts, reminders, recommendations, AI-generated outputs, or other information made available through the Services should be interpreted as medical advice or relied upon as a substitute for professional medical judgment.

You should always consult a licensed physician or other qualified healthcare professional before making any decision regarding medications, supplements, peptides, hormones, compounds, dosages, injections, diet changes, exercise changes, sleep changes, or any other health-related action.

Never disregard, delay, or avoid seeking professional medical advice because of information obtained through the Services.

2. NO DOCTOR-PATIENT OR CLINICAL RELATIONSHIP

Use of the Services does not create any doctor-patient, provider-patient, therapist-client, pharmacist-patient, coach-client, fiduciary, or other professional relationship between you and OptiSelf LLC or any of its owners, members, managers, officers, contractors, affiliates, licensors, service providers, or partners.

The Services do not prescribe, dispense, sell, compound, manufacture, or administer any medication, peptide, supplement, or controlled substance.

Any information related to peptides, supplements, compounds, sleep, recovery, fitness, nutrition, or wellness is provided solely as general educational content and not as a personalized recommendation, instruction, endorsement, or guarantee for any user.

3. USE AT YOUR OWN RISK / ASSUMPTION OF RISK

Your use of the Services is entirely voluntary and at your sole risk.

Health, wellness, fitness, supplement, peptide, and lifestyle decisions can involve significant risks, including but not limited to side effects, allergic reactions, drug interactions, contraindications, injury, illness, infection, sleep disruption, cardiovascular effects, hormonal changes, adverse events, permanent injury, disability, or death.

By using the Services, you acknowledge and accept full responsibility for any decisions you make based on the Services; any actions you take or fail to take; any products, substances, supplements, peptides, medications, or protocols you choose to research, obtain, use, or discontinue; and any resulting outcomes.

You agree that OptiSelf LLC and its owners, members, managers, officers, employees, contractors, affiliates, licensors, service providers, successors, assigns, and partners shall have no responsibility or liability for your personal health decisions or outcomes.

4. NO GUARANTEES; RESULTS MAY VARY

The Services may provide tracking, analytics, insights, trends, scores, summaries, reminders, educational content, suggested frameworks, AI-generated outputs, and general wellness information. These are provided for convenience only.

We make no representation, warranty, or guarantee that: any information is accurate, complete, current, reliable, or error-free; any recommendation, insight, or output is appropriate for you; any feature will detect, prevent, predict, or improve any medical condition or health outcome; or any user will achieve any specific result, including improved sleep, recovery, performance, body composition, biomarkers, mood, focus, or any other health or wellness outcome.

Individual results vary, and many factors beyond our control may affect outcomes.

5. AI-GENERATED CONTENT DISCLAIMER

Some Services may include artificial intelligence (“AI”), machine learning, algorithmic summaries, automated insights, predictive outputs, or other computer-generated content.

AI-generated content may be incomplete, inaccurate, outdated, misleading, or inapplicable to your situation, and may be based on incomplete, incorrect, or third-party data.

AI outputs are not medical advice, not professional advice, and must not be relied upon as the sole basis for any health, medical, supplement, peptide, medication, or treatment decision.

You are solely responsible for independently evaluating any AI-generated output and consulting a qualified professional before acting on it.

6. PEPTIDES, SUPPLEMENTS, COMPOUNDS, AND OTHER HIGH-RISK TOPICS

Any content within the Services related to peptides, supplements, hormones, research compounds, nutraceuticals, longevity strategies, recovery protocols, sleep aids, or similar topics is provided strictly for general informational and educational purposes only.

OptiSelf LLC does not recommend, direct, encourage, endorse, verify, or guarantee the safety, legality, efficacy, purity, sourcing, dosage, administration, or suitability of any peptide, supplement, compound, medication, or protocol for any user.

You are solely responsible for confirming legality in your jurisdiction; obtaining products only through lawful and appropriate channels; evaluating quality and source; understanding risks and contraindications; consulting licensed professionals; and determining whether any action is appropriate for you.

7. USER INPUTS, DATA RIGHTS, AND COMMERCIAL USE OF DATA

You are solely responsible for the accuracy, completeness, legality, and reliability of any information, data, materials, content, or other inputs you provide, upload, connect, sync, or otherwise make available through the Services (“User Data”).

By submitting, uploading, syncing, linking, or otherwise providing User Data to or through the Services, you grant OptiSelf LLC and its affiliates, successors, assigns, contractors, service providers, partners, sublicensees, and permitted business counterparties a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free, fully paid-up right and license to collect, access, use, reproduce, store, host, process, analyze, modify, adapt, aggregate, combine, create derivative works from, and otherwise use such User Data as necessary to operate, maintain, improve, develop, market, support, secure, and commercialize the Services and related business operations, subject to applicable law and our Privacy Policy.

Without limiting the foregoing, you expressly acknowledge and agree that OptiSelf LLC may use User Data and data derived from User Data to: operate, maintain, improve, and develop the Services; generate analytics, benchmarks, trends, reports, scores, and insights; train, refine, validate, test, and improve algorithms, machine learning systems, and AI models; create aggregated, anonymized, de-identified, pseudonymized, modeled, inferred, or otherwise transformed datasets and outputs; create commercial products, reports, databases, benchmarks, audience segments, models, and insights; and share, disclose, license, transfer, or otherwise commercialize such aggregated, anonymized, de-identified, pseudonymized, modeled, inferred, transformed, or derived data and outputs with or to affiliates, partners, customers, research organizations, analytics providers, advertisers, investors, acquirers, successors, and other third parties for lawful business purposes.

To the maximum extent permitted by law, you waive any claim to compensation, royalties, accounting, approval rights, or other payment arising from any use, commercialization, licensing, disclosure, transfer, or other exploitation of User Data or any derived, aggregated, anonymized, de-identified, pseudonymized, modeled, inferred, transformed, or other non-directly-identifying data or outputs.

8. DATA COLLECTION, PROCESSING, SHARING, AND COMMERCIALIZATION

The Services may collect, receive, infer, generate, store, process, analyze, combine, and use data that you provide directly or indirectly, including without limitation sleep data, activity data, wearable data, biometric-related or wellness-related data, dietary information, supplement logs, symptom logs, habit data, recovery data, subjective wellness inputs, device data, usage analytics, technical identifiers, and geolocation data (where enabled).

By using the Services, you expressly consent to the collection, use, storage, analysis, combination, disclosure, transfer, licensing, sharing, and commercialization of such data and related derived data, to the fullest extent permitted by applicable law, including for product functionality, personalization, analytics, benchmarking, advertising, marketing, audience development, business intelligence, research, machine learning and AI development, partner integrations, affiliate operations, mergers and acquisitions, financing, and other lawful commercial purposes, as further described in our Privacy Policy.

You understand and agree that OptiSelf LLC may share, disclose, license, transfer, or otherwise commercialize data that has been aggregated, anonymized, de-identified, pseudonymized, modeled, inferred, enriched, transformed, or otherwise processed so that it is not intended to directly identify you, subject to applicable law.

You further understand and agree that data provided to third parties may be subject to such third parties’ own terms, privacy practices, retention practices, security standards, and legal obligations, and OptiSelf LLC is not responsible for the acts or omissions of such third parties.

8A. CLINICIAN-LINKED ACCOUNTS / PROVIDER DATA SHARING
If you create, access, activate, or use the Services through a clinician, medical practice, health provider, wellness provider, coach, clinic, or other third-party provider account, referral, invite code, enrollment flow, white-labeled portal, or other provider-linked access method (a “Clinician-Linked Account”), you expressly acknowledge, understand, and agree that certain information you provide to or generate through the Services may be shared with that clinician or provider and their authorized personnel.
This may include, without limitation, information such as:
    •    intake forms and onboarding responses;
    •    health, wellness, symptom, recovery, sleep, supplement, peptide, medication, dosage, administration, route-of-administration, habit, and subjective well-being data;
    •    check-ins, questionnaires, progress updates, trend data, summaries, logs, reports, analytics, scores, and related user-generated or system-generated outputs;
    •    AI-generated summaries, insights, flags, trends, or other informational outputs made available through the provider-facing portions of the Services.
By using a Clinician-Linked Account, you expressly authorize OptiSelf LLC to collect, process, store, display, transmit, and disclose such information to the applicable clinician, practice, provider organization, and their authorized staff or representatives for purposes of facilitating the Services, supporting provider workflows, enabling review of your submitted information, and supporting provider-facing dashboards, reporting, trend analysis, and related product functionality.
You understand and agree that:
    •    any clinician or provider receiving such information is a separate third party and is not an employee, agent, or representative of OptiSelf LLC;
    •    once your information is shared with a clinician or provider, such information may be subject to that clinician’s or provider’s own privacy practices, recordkeeping obligations, professional duties, legal obligations, security standards, and applicable laws;
    •    OptiSelf LLC does not control and is not responsible for the acts, omissions, storage, use, disclosure, retention, or safeguarding of information by any clinician, provider, practice, or provider organization after such information is made available to them through the Services, except as required by applicable law.
If you do not want your information shared with a clinician or provider, do not enroll in, access, or use a Clinician-Linked Account or provider-linked version of the Services.

8B. HIPAA / PROTECTED HEALTH INFORMATION / CLINICIAN-LINKED WORKFLOWS
In certain clinician-linked, provider-linked, or practice-linked uses of the Services, including without limitation OptyPeptides and related provider-facing or white-labeled patient workflows, OptiSelf LLC may receive, maintain, transmit, store, or make available identifiable health information on behalf of or in connection with a healthcare provider, medical practice, clinic, or other organization subject to the Health Insurance Portability and Accountability Act of 1996, as amended, and its implementing regulations (“HIPAA”). In such circumstances, certain information submitted through the Services may constitute protected health information (“PHI”).
For clinician-linked or provider-linked workflows that are intended to involve HIPAA-regulated data, OptiSelf LLC intends for the applicable Services to be used in a manner designed to support HIPAA-compliant operations, subject to the Services’ then-current technical configuration, administrative controls, security measures, and the execution of an applicable written Business Associate Agreement (“BAA”) where required.
Where OptiSelf LLC has entered into a valid written BAA with an applicable Covered Entity or Business Associate, OptiSelf LLC will use, disclose, maintain, and safeguard PHI only as permitted or required by the applicable BAA, HIPAA, other applicable law, and the applicable functionality and configuration of the Services.
You acknowledge and agree that:
    •    HIPAA obligations may apply only to certain products, features, configurations, accounts, integrations, or workflows, and not necessarily to all Services, accounts, or uses of the Services;
    •    HIPAA-compliant use of the Services may require specific onboarding, configuration, account settings, permissions, workflows, restrictions, or additional agreements;
    •    the applicable provider, practice, clinic, or organization is responsible for determining whether its intended use of the Services requires a BAA, patient authorization, consent, notice of privacy practices, additional security controls, or other compliance measures under HIPAA, HITECH, or applicable state law;
    •    OptiSelf LLC may rely on the applicable provider, practice, clinic, or organization to designate authorized users, control access permissions, determine appropriate disclosures, and use the Services in accordance with applicable law and the principle of minimum necessary access; and
    •    once information is disclosed or made available to a provider or provider organization through a clinician-linked workflow, that provider or organization may independently use, maintain, disclose, or retain such information in accordance with its own legal and regulatory obligations, privacy practices, and recordkeeping requirements.
Nothing in these Terms is intended to waive, limit, or reduce any rights, obligations, restrictions, or safeguards expressly set forth in an applicable BAA. In the event of any conflict between these Terms and an executed BAA solely with respect to PHI governed by that BAA, the BAA shall control to the extent of such conflict.

9. THIRD-PARTY SERVICES AND INTEGRATIONS

The Services may integrate with or rely on third-party devices, APIs, wearables, platforms, applications, advertisers, analytics providers, payment processors, cloud providers, or other third-party systems.

We do not guarantee the accuracy, completeness, availability, or reliability of any third-party systems or data.

We are not responsible for any errors, omissions, outages, sync failures, delays, corruption, unauthorized disclosures, security incidents, or other issues arising from third-party products or services.

10. DATA SECURITY

We take commercially reasonable measures to help protect user data. However, no device, network, platform, transmission method, or storage system is completely secure.

Accordingly, you acknowledge and agree that: use of the Services and transmission of information is at your own risk; we cannot and do not guarantee absolute security; and we are not liable for unauthorized access, hacking, interception, disclosure, data loss, data corruption, or security breaches except as required by applicable law.

11. NO WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

OPTISELF LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, UNINTERRUPTED ACCESS, OR THAT THE SERVICES WILL BE ERROR-FREE OR FREE OF HARMFUL COMPONENTS.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTISELF LLC AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, ASSIGNS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, LIABILITY, COST, OR EXPENSE OF ANY KIND, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, ILLNESS, ADVERSE HEALTH OUTCOMES, MEDICAL COMPLICATIONS, MEDICATION OR SUPPLEMENT INTERACTIONS, PEPTIDE-RELATED INJURY OR LOSS, LOSS OF DATA, LOST PROFITS, LOST BUSINESS, LOST GOODWILL, EMOTIONAL DISTRESS, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES, YOUR RELIANCE ON ANY CONTENT OR OUTPUT, ANY DECISIONS MADE BASED ON THE SERVICES, ANY THIRD-PARTY PRODUCTS OR SERVICES, ANY INTERRUPTION, OUTAGE, ERROR, OMISSION, OR INACCURACY, OR ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED U.S. DOLLARS (US $100), OR (B) THE TOTAL AMOUNT YOU PAID TO OPTISELF LLC FOR THE APPLICABLE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless OptiSelf LLC and its owners, members, managers, officers, employees, contractors, affiliates, licensors, service providers, successors, assigns, and partners from and against any and all claims, demands, actions, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Services; your violation of these Terms; your violation of any law or regulation; your reliance on any information provided through the Services; or your use, purchase, possession, sourcing, administration, recommendation, or discussion of any supplement, peptide, medication, or compound.

14. NO ENDORSEMENT OF THIRD PARTIES

References to third-party products, services, compounds, devices, providers, practitioners, platforms, or websites do not constitute endorsement, recommendation, certification, guarantee, or approval by OptiSelf LLC.

You are solely responsible for evaluating any third party before relying on them or purchasing from them.

15. ELIGIBILITY

You must be at least 18 years old (or the age of legal majority in your jurisdiction, if older) to use the Services.

The Services are not intended for children and should not be used by minors except where expressly permitted by law and with any legally required parental or guardian consent.

16. MODIFICATIONS TO THE SERVICES OR TERMS

We reserve the right, at any time and in our sole discretion, to modify, suspend, restrict, or discontinue any part of the Services; add, remove, or alter features; change pricing, subscriptions, or access terms; and update these Terms.

Your continued use of the Services after any update constitutes your acceptance of the revised Terms.

17. TERMINATION

We may suspend or terminate your access to any or all Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms or used the Services in an unsafe, unlawful, or abusive manner.

18. GOVERNING LAW; VENUE

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction and venue of such courts.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

20. ENTIRE AGREEMENT

These Terms, together with any applicable Privacy Policy and any additional subscription or purchase terms presented to you, constitute the entire agreement between you and OptiSelf LLC regarding the Services.

• UNDERSTAND THAT YOUR DATA MAY BE COLLECTED, PROCESSED, SHARED, LICENSED, OR OTHERWISE COMMERCIALIZED AS DESCRIBED HEREIN AND IN THE PRIVACY POLICY;
• ASSUME ALL RISKS ASSOCIATED WITH YOUR USE; AND
• AGREE TO BE LEGALLY BOUND BY THESE TERMS.
